General terms and conditions

Object
The general terms and conditions of sale (hereinafter referred to as "GTC") create a legal agreement and apply to all orders for services and products concluded between the Customer (hereinafter referred to as "the Customer") and SARL Noa Benghozi. Any reservation of a session implies full acceptance of these GTC, unless special conditions have been agreed in writing between SARL Noa Benghozi and the Customer. Head office address: 50 Boulevard Victor Hugo. Any document other than the present terms and conditions of sale, in particular catalogs, prospectuses, advertisements and notices, is for information purposes only and is non-contractual. These general terms and conditions of sale form an indivisible contractual document with the service contract signed by the customer.
Book a session
The reservation of a photographic service can be made at any time subject to availability of SARL Noa Benghozi via its website: www.theunder.studio via the booking or Christmas shooting tab. Payment constitutes a firm commitment on the part of the customer and implies full acceptance of these GTC. The reservation is only definitive upon receipt of this payment. If payment is not received within 10 minutes of SARL Noa Benghozi agreeing to the date agreed with the customer, the reservation will be cancelled without notice and without the customer being entitled to claim any compensation. If the session does not take place at the date and time agreed through the customer's fault, no refund or credit note will be issued. As the booking of a photographic session is a personal process, the customer has 72 hours to retract before the start of the session. No amount already paid will be reimbursed in the event of cancellation, whatever the reason, if the cancellation is not made within 72 hours of the start of the session. This covers the loss of earnings due to a lost session.
Rates and payment terms
Sales prices include all taxes and are those applicable at the time of booking a session, reportage or ordering additional products. All prices are subject to change at any time without notice. The valid price is the one indicated on your contract. The price list sent by e-mail with the General Terms and Conditions is valid for 7 days from the date of dispatch. After that date, if you have not booked your session or ordered your products, the new price will apply. The balance for any type of service will be paid by the customer 1 day before the service by online payment. Failure to pay the balance will result in cancellation of the photo delivery or training, without refund. Final delivery of photos will only take place once the order has been paid in full. Any delay in payment will give rise to the payment of interest at the minimum rate stipulated in article L 441-6 of the French Commercial Code (legal interest multiplied by three), payable by right and without reminder, calculated on the amounts before tax, as well as a fixed indemnity of €100 per invoice for any inconvenience caused. Any overrun of the times agreed when the contract is signed will be billed at €100 inc. tax/hour (per 30 minutes started). Change of package: At any time, customers can choose to upgrade to a higher package, but the reverse is not permitted.
Postponement or cancellation
If the SARL Noa Benghozi is unable to honor the contract due to force majeure, you will be offered a replacement date whenever possible. Force majeure is considered to be an unforeseeable external event making it impossible to provide the service (accident, death, snow, ice, illness, etc.). Either party may invoke this right if the event is deemed to be force majeure. The SARL Noa Benghozi or the Customer undertakes to inform the other party as soon as possible, i.e. 72 hours before the date and time of the session, by telephone or e-mail. By mutual agreement, a new date will be scheduled, at no extra cost for the same service. Any request for modification (date, time, place) by the Customer must be made no later than 72 hours before the scheduled date of the session. However, rescheduling must take place within 30 days of the date scheduled for the initial session, if the photographer's schedule permits. In the event of postponement SARL Noa Benghozi cannot be held responsible for the non-realization of certain session particularities (season, weather, shooting location, decorations...). In the event of cancellation by the customer, in accordance with legal provisions, the payment will not be reimbursed; it covers the costs of preparing your shoot and the loss of earnings from a lost photographic service.
Performance of the service
La SARL Noa Benghozi is not subject to an obligation of result. It makes every effort to provide quality images and photographic media, as stipulated in the order. The content of these images and photographic media is left to the photographer's artistic discretion. Consequently, customers acknowledge that photographs and photographic media are not subject to rejection on the basis of the customer's tastes.
Customer obligations
The client agrees to be on time for the session, as a sign of respect for the company. SARL Noa Benghozi. If the client is more than 15 minutes late, depending on the type of session, the session will either be reduced by the time the client was late, or cancelled altogether; any payment made by the client to the photographer will not be reimbursed. The customer will not be entitled to any refund or credit note. Please note that for themed sessions, no delays will be tolerated, as sessions run throughout the day, and the following client does not have to suffer the delay of the previous client. The client agrees to facilitate the photographer's work during the session. It is strictly forbidden for the client to take photos with a camera, cell phone or other device during the session. The SARL Noa Benghozi cannot be held responsible for poor-quality photos in the event of a lack of cooperation on the part of one of the session's participants. The SARL Noa Benghozi will not be hindered in its work by amateur photographers. Children present at photo shoots remain the sole responsibility of their parents. In the event of material damage caused by the client or the child or any other person present in the studio, these must be reimbursed in full.
Private gallery
In order to choose your shots and if necessary, a private gallery with watermark and password will be created on the Internet within 30 days of the date of the shoot or report. It remains online for 7 days from the date of dispatch. After 7 days, the gallery is automatically deleted and any re-creation is billed at €15. If the choice is still not made after 30 days, the SARL Noa Benghozi reserves the right to make the selection on the customer's behalf, and it will no longer be possible for the customer to purchase any media or modify the selection. The total cost of the media must be paid in full on the day the order is placed. The use of watermarked photographs is forbidden.
Gift card
Gift vouchers are payable by bank transfer, cash or online payment when the order is placed. Gift voucher recipients will have 6 months to complete the service. Gift vouchers are neither exchangeable nor refundable. They will be dispatched within 7 days of receipt of payment. Sessions must be booked by telephone +33 7 85 98 35 07 or e-mail. ‍
Preservation of digital files
Once delivered to the customer, photographs are stored and archived under the customer's sole responsibility. The customer is invited to make backups on various media. The SARL Noa Benghozi declines all responsibility in the event of loss or damage to digital files delivered to the customer. Files remain available for 7 days and can be returned if necessary.
Specific retouching
On request, the SARL Noa Benghozi will be able to preserve a detail that is unique to you, such as a mark of depigmentation or a birthmark. Please indicate this when sending your list of photos to be processed, as I will not process any such request once the final gallery has been delivered. Any additional retouching requested by the customer will be accepted or not by the SARL Noa Benghozi who reserves the right to invoice the additional work per image according to an estimate sent to the client. For photos with Chinese shadow, only the black and white version will be delivered to the customer.
Hygiene measures
The customer acknowledges that the photo session is carried out at his/her request. Please note that sessions are by appointment only, and that this is not a place where people pass through, as would be the case in a boutique. Precautionary measures should be taken by SARL Noa Benghozi and the customer to carry out the photo session in the best possible hygienic conditions.

Namely:
- the customer must inform SARL Noa Benghozi 72 hours before the photo shoot of any illness affecting him or his household. The same applies to the photographer. The session will then be rescheduled without giving rise to the payment of damages for any reason whatsoever.
- the customer unreservedly accepts that the SARL Noa Benghozi may take care of the children during the staging.
- the customer must do everything possible to limit the spread of disease. To this end, they may bring hydroalcoholic gel, wipes and personal items such as hairbrushes, lint brushes, baby blankets or pacifiers, as the SARL Noa Benghozi will not be able to provide them, for hygienic reasons.
- the SARL Noa Benghozi undertakes to clean the photo studio regularly and to work as hygienically as possible.

These include the use of hydro-alcoholic gel and hand washing, and regular cleaning of washable items such as blankets and swaddling cloths. If the sanitary situation so requires, he or she will be required to wear a mask or other equipment, and to space out photo sessions to limit contact between customers.
Technical problems and accidents
In the event of a technical problem with the photographic equipment or an accident of any kind during the performance preventing the SARL Noa Benghozi to deliver the work requested, the session will be rescheduled, without giving rise to the payment of damages or interest on any grounds whatsoever. In the event of loss or deterioration of photos prior to delivery (burglary, fire, etc.), the customer will only be entitled to a refund.
Liability
The client is responsible for himself and the people accompanying him to the session. SARL Noa Benghozi cannot be held responsible for any accident or breakage of equipment during the session that could have been avoided if the parents had supervised their child(ren). No legal action may be taken against the company. In the event of damage to or breakage of equipment by the customer or his/her children, the customer must reimburse the cost of new equipment. If the accident is the fault of SARL Noa Benghoziits professional liability insurance will be triggered.
Intellectual property
Les photographies réalisées lors d’une séance sont protégées selon les règles des articles L 121-1 et loi du 11 mars 1957 (Code de la Propriété Intellectuelle et droits d’auteur). Même après cession des fichiers numériques, les photographies restent la propriété intellectuelle de la SARL Noa Benghozi et ne sont en conséquence pas libres de droit. Seul le droit à l’image du client lui est inaliénable. Toute utilisation commerciale par le client est formellement interdite sans un accord écrit de la SARL Noa Benghozi. Toute utilisation d’une photographie, quelle qu’en soit l’usage (concours, diffusion, exposition, reproduction, etc.) faite sans l’accord écrit de la SARL Noa Benghozi constitue un délit de contrefaçon, au sens de l’article L 335-2 du même Code, et est punissable de peines pouvant aller jusqu’à 3 ans d’emprisonnement et 300000 € d’amende. Il est notamment interdit et puni par la loi de numériser les tirages en vue de les diffuser sur Internet ou d’en faire des reproductions (y compris dans le cadre privé), de copier et d’utiliser les images présentées sur les différents supports propres à la SARL Noa Benghozi, de retirer par quelconque procéder la signature et/ou logo de la photographe et de modifier les photos (passage en noir et blanc, recadrage, retouches diverses, etc.) sans autorisation préalable de  a SARL Noa Benghozi. Lorsque le client achète les fichiers numériques en haute résolution, il lui est autorisé de reproduire les fichiers et de les enregistrer sur tout support qu’il souhaite dans un seul but de conservation, uniquement pour son usage personnel et privé.« Le Client est dans l’obligation de créditer toute photo issue d’une prestation de la SARL Noa Benghozi lorsque ce dernier la publie sur internet. C'est-à-dire, indiquer systématiquement le nom de  la SARL Noa Benghozi ("THE UNDER STUDIO"). Le crédit photo nommé également "crédit photographique" garantit le respect de la propriété intellectuelle de la SARL Noa Benghozi, auteur de l’œuvre La mention des crédits photos est obligatoire par respect pour le travail de l’auteur.

Le crédit ou le fait d’attribuer l’œuvre à son auteur est un droit fondamental pour tout auteur. Cette mention lui permet de :
- protéger son travail de création,
- l’identifier avec sa signature,
- souligner sa propriété d’art auprès du public.

Deux types de droits sont distingués sur l’œuvre d’un auteur :
- les droits moraux, assurés par le crédit photo dans le cadre d’une photographie,
- les droits patrimoniaux, représentant les droits financiers de reproduction et de représentation, en vertu du Code de la propriété intellectuelle (article L.121-1)

.Le Code de la propriété intellectuelle autorise l’auteur à jouir du droit au respect de son nom, de sa qualité ainsi que de son œuvre. L’utilisation des crédits photos : L’image doit être associée à son auteur, peu importe le support de communication. Dans certains cas, il est accepté que les crédits photos soient mentionnés sur une autre page de l’ouvrage, ou dans un commentaire. Lors de l’utilisation d’une photographie, d’une image sur internet ou sur un support imprimé, il est obligatoire de préciser la mention du crédit photographique. L’auteur de la photo doit ainsi être identifiable sans risque d’ambiguïté .Lorsqu’une photographie est utilisée sur un site internet ou un blog, son auteur peut également demander à ce que le crédit photographique envoie un lien vers son site web ou son portfolio. »
Donc : les violations telles que la publication non autorisée, la distribution, ou toute modification des fichiers d'image, l'enlèvement non autorisé du logo de la photographie ou d'autres violations du droit d'utilisation sont punissables. Si des photos qui ne respectent pas les termes et conditions susnommées ne sont pas supprimées après un seul rappel, une plainte sera déposée. Dans le cas où le client refuse les droits de publication à la photographe, il lui est également interdit de publier les photos (Facebook ou autres).
Respect for the photo studio.
Any comments or captions accompanying the reproduction or representation of the photos must not harm the image or reputation of SARL Noa Benghozi. Customers agree to be jointly and severally liable with SARL Noa Benghozi in the event of damage caused by improper use of the images by a third party without the customer's knowledge.
Image rights and distribution authorization
SARL Noa Benghozi reserves the right to use the photographs it has taken to promote its activity (website, social networks, exhibitions, etc.). The customer acknowledges that by placing an order with SARL Noa Benghozi, he/she authorizes the use of photos in which he/she is recognizable. Similarly, any photo published publicly (internet, social networks, ...) by the customer may be used by SARL Noa Benghozi.
Modification of the General Sales Conditions.
SARL Noa Benghozi reserves the right to modify these General Terms and Conditions of Sale at any time. The modified conditions will be applicable to any order placed after the date of modification, including any complementary or related order to a previous order.
